Terms of Service

The legal agreement governing your use of the iNeedTrust platform.

Last updated: October 15, 2026

Welcome to iNeedTrust. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and iNeedSec, Inc., a Delaware corporation ("iNeedSec", "we", "us", or "our"), governing your access to and use of the iNeedTrust platform, including our website at ineedtrust.com, the trust center hosting service, the public directory, the dataroom, and all related services (collectively, the "Service").

By creating an account, publishing a trust center, or otherwise accessing the Service, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "your" will refer to that entity.

1. Definitions

  • "Customer Content" means all data, text, documents, certifications, controls, policies, images, logos, and other materials that you upload to, create within, or transmit through the Service.
  • "Trust Center" means the public-facing security and compliance page hosted by iNeedTrust on your behalf, accessible at a URL in the format /trust/[your-slug].
  • "Directory" means the publicly accessible gallery of published Trust Centers at /trust/directory.
  • "Dataroom" means the gated document access feature requiring visitor authentication, optionally protected by NDA signing.
  • "Visitor" means any third party who accesses your Trust Center or Dataroom.
  • "AI Content" means text, summaries, proposals, assessments, or other output generated by the Service's artificial intelligence features.
  • "Structured Data" means machine-readable metadata (JSON-LD, schema.org markup) embedded in Trust Center pages for search engine optimization.
  • "Powered By Mark" means the "Powered by iNeedTrust" attribution displayed in the footer of Trust Center pages, including any associated hyperlink and anchor text.

2. Service Description

iNeedTrust is a trust center platform that enables companies to create, manage, and publish branded trust centers communicating their security and compliance posture. The Service includes:

  • Hosted trust center pages with customizable branding, layouts, and themes
  • Security controls management mapped to industry frameworks (SOC 2, ISO 27001, NIST or any of the 30+ frameworks, SCF, and others)
  • Document hosting with tiered access controls (public, gated, dataroom)
  • Certification and compliance badge management with verification tracking
  • Subprocessor registry with transparency reporting
  • Vulnerability monitoring with CVE tracking and public advisory publishing
  • Secure dataroom with OAuth authentication and NDA workflows
  • AI-assisted content generation for controls, summaries, and proposals
  • Privacy request portal (DSAR) for data subject rights management
  • Public directory of published trust centers
  • RSS/Atom feeds for security updates and advisories

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must promptly notify us of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

You may invite team members to your organization account. You are responsible for ensuring that all users under your account comply with these Terms.

4. Trust Center Publication

When you publish a Trust Center, the following content becomes publicly accessible to anyone on the internet:

  • Your company name, logo, description, and security vision statement
  • Published security controls with framework mappings and descriptions
  • Certifications, compliance badges, and their verification status
  • Subprocessor list with processing details and data categories
  • Public-tier documents (titles, descriptions, and downloadable files)
  • Security advisories and vulnerability assessments (if CVE monitoring is enabled)
  • Trust updates and changelog entries

Content published through the Service is indexed by search engines by default. You are solely responsible for ensuring that all content you publish is accurate, up-to-date, and does not violate any third-party rights or applicable laws.

Trust Center States: Your Trust Center exists in one of three states: (1) Not Published - not accessible to the public, (2) Coming Soon - minimal placeholder page visible to the public, or (3) Published - full Trust Center accessible to the public and listed in the Directory. You control the state of your Trust Center through the platform dashboard.

5. Directory Listing

Automatic Inclusion: When you set your Trust Center status to "Published", it is automatically included in the iNeedTrust Directory - a publicly accessible, browsable gallery of trust centers at /trust/directory. The Directory displays your company name, logo, description, and a link to your Trust Center.

SEO Optimization: The Directory page includes search engine optimization metadata (title tags, meta descriptions, Open Graph tags, and JSON-LD structured data) that references your Trust Center. This is designed to enhance the discoverability of both the Directory and individual Trust Centers.

Opt-Out: If you do not wish to appear in the Directory, you may set your Trust Center to "Coming Soon" status, which removes it from the Directory listing while maintaining a minimal public presence. Alternatively, setting your Trust Center to "Not Published" removes all public visibility. We do not currently offer a mechanism to be Published but excluded from the Directory, as the Directory is an integral part of the trust transparency ecosystem.

No Endorsement: Inclusion in the Directory does not constitute an endorsement, verification, or certification by iNeedTrust of your security posture, compliance status, or business practices. The Directory is an index of self-reported trust information.

6. Content Ownership & License

Your Content: As between you and iNeedTrust, you retain all right, title, and interest (including all intellectual property rights) in your Customer Content. Nothing in these Terms transfers ownership of your content to iNeedTrust.

License to iNeedTrust: You grant iNeedTrust a worldwide, non-exclusive, non-sublicensable, non-transferable, terminable license to host, store, reproduce, display, transmit, and distribute your Customer Content solely for the purpose of providing and improving the Service. This license terminates when you delete your content or when your account is terminated, subject to the data export period described in Section 24.

Single-Company Use: Your subscription and your right to use the Service are licensed for use by a single company, meaning the legal entity named on your account. Each subscription covers one company's trust center. Using one subscription to publish trust centers for, or provide the Service to, multiple companies (including affiliates or clients) requires a separate subscription for each company.

Anonymized Data: We may create anonymized, aggregated, de-identified data derived from your use of the Service ("Aggregated Data"). Aggregated Data cannot be used to identify you or any individual. We may use Aggregated Data for any lawful purpose, including benchmarking, analytics, product improvement, and publishing industry reports. Examples include aggregate control coverage statistics, framework adoption trends, and trust center engagement metrics.

Feedback: If you provide feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, irrevocable license to use that feedback for any purpose without compensation.

7. Brand & Marketing Usage

Customer List: You consent to iNeedTrust using your company name and logo to identify you as a customer in our customer lists, on our website, and in marketing materials. This usage right is limited to identification as a customer and does not extend to implying endorsement of iNeedTrust products or services.

Case Studies & Press Releases: Any use of your name, logo, or marks beyond customer list identification - including case studies, press releases, blog posts, or social media features - requires your prior written consent (email is sufficient). We will provide you with a draft for review before publication.

Brand Guidelines: If you provide brand guidelines, we will make commercially reasonable efforts to comply with them when displaying your name and logo. You may revoke consent for customer list usage at any time by written notice, and we will remove your name and logo from our marketing materials within 30 days.

8. SEO & Structured Data

Structured Data Implementation: iNeedTrust embeds machine-readable structured data (JSON-LD using schema.org vocabulary) on your Trust Center pages. This structured data includes:

  • A WebPage schema identifying your company as the subject (about) and iNeedTrust as the technology provider (provider)
  • An organizational schema with your company name and logo
  • Page-level metadata for search engine indexing

SEO Benefit Allocation: The structured data is designed to benefit both parties. Your Trust Center pages are hosted under the iNeedTrust domain (ineedtrust.com/trust/[your-slug]) and contribute to the overall domain authority of ineedtrust.com. In return, the structured data and dedicated URL enhance the discoverability of your security and compliance information in search engine results.

Custom Domains: On applicable paid plans, we may offer custom domain support for Trust Centers. When a custom domain is configured, the SEO benefit of Trust Center pages accrues primarily to your domain. The Powered By Mark (if displayed) provides a backlink to iNeedTrust.

Crawling & Indexing: Published Trust Center pages are configured as indexable by search engines. Preview-mode and dataroom pages are configured as noindex, nofollow. You may not override the robots directives set by the Service.

9. "Powered by iNeedTrust" Branding

Display Requirement: All Trust Centers on the free Starter plan display a "Powered by iNeedTrust" footer attribution with a hyperlink to the iNeedTrust website. This attribution uses contextually varied anchor text (e.g., "Trust center platform by iNeedTrust", "Security controls by iNeedTrust") and is marked with rel="sponsored" for search engine transparency.

Quality Gate: iNeedTrust reserves the right to suppress the Powered By Mark on Trust Centers that do not meet minimum content quality thresholds (e.g., insufficient controls, missing certifications, or incomplete configuration). This is an automated quality control measure and does not constitute an endorsement of Trust Centers that do display the mark.

Removal: The Powered By Mark may be hidden on eligible paid plans where the Trust Center meets applicable quality thresholds. Removal of the Powered By Mark through any means other than the designated plan feature - including CSS overrides, JavaScript manipulation, or DOM modifications - constitutes a violation of these Terms.

10. Visitor Data & Privacy

Responsibility for Visitor Data: You are responsible for the collection and handling of personal data of Visitors to your Trust Center. iNeedTrust processes Visitor data on your behalf and in accordance with your configuration choices within the Service.

Your Obligations: You are responsible for:

  • Providing legally adequate privacy notices to Visitors of your Trust Center as required by applicable law (including CCPA, state privacy laws, and any other applicable regulations)
  • Obtaining any required consent or providing required disclosures for data collection
  • Responding to consumer rights requests submitted through the DSAR portal or directly to you
  • Configuring appropriate access controls for your dataroom documents
  • Informing Visitors that their information may be processed by iNeedTrust and by third-party authentication providers (Google, Microsoft, GitHub)

Privacy-Respecting Analytics: Our trust center analytics are designed to minimize data collection: no cookies are placed, no personally identifiable information is collected, and session identifiers are stored only in the visitor's browser sessionStorage (not persisted across sessions). Analytics events include page views, document requests, and control expansions.

11. Dataroom & Document Access

Authentication: The Dataroom requires Visitors to authenticate via OAuth providers (Google, Microsoft, or GitHub). iNeedTrust facilitates this authentication but does not independently verify Visitor identities beyond the information provided by the OAuth provider.

NDA Workflows: You may configure NDA requirements for Dataroom access through our integration with DocuSeal. You are solely responsible for the legal content, validity, and enforceability of any NDA templates you upload. iNeedTrust provides the signing workflow infrastructure but is not a party to any NDA between you and your Visitors.

Document Access Controls: You control document access tiers (public, gated, dataroom-only), access grants, and grant expiration periods. iNeedTrust enforces these controls as configured but does not monitor or audit the content of documents you upload.

Audit Logging: The Service maintains audit logs of Dataroom activity (document views, downloads, access grants). These logs are available to you through the platform dashboard and are retained for the duration of your subscription.

12. AI-Generated Content

Proposed State: All content generated by the Service's AI features enters a "Proposed" state. AI-generated content is never published automatically. You must review and explicitly approve any AI Content before it becomes visible on your Trust Center.

No Guarantee of Accuracy: AI Content is generated using third-party large language models and may contain errors, inaccuracies, hallucinations, or outdated information. INEEDTRUST MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR FITNESS FOR ANY PURPOSE OF AI CONTENT. You are solely responsible for verifying the accuracy of all AI Content before approving it for publication.

Calibration: Numeric scores, confidence ratings, and quality assessments generated by AI features are calibrated using rule-based adjustments but should not be treated as authoritative measurements. They are indicative tools to assist your decision-making.

Usage Metering: AI features are metered on a per-task basis and attributed to your tenant account. Usage limits may apply based on your subscription plan.

13. Beta & Preview Features

We may offer certain features designated as "Beta", "Preview", "Early Access", or similar labels ("Beta Features"). Beta Features are provided "AS IS" without warranty of any kind, express or implied.

We may modify, suspend, or discontinue Beta Features at any time without notice. Beta Features are not subject to any SLA, and the limited warranty for paid plans does not apply to Beta Features. We may use your feedback on Beta Features without restriction or obligation.

Your use of Beta Features is entirely at your own risk. We recommend not relying on Beta Features for production trust center content without also maintaining the equivalent functionality through stable features.

14. Paid Subscriptions

Billing: Paid plans are billed in advance on a monthly or annual basis as selected at the time of subscription. All fees are stated in the currency indicated on our pricing page and are exclusive of applicable taxes.

Automatic Renewal: Subscriptions renew automatically at the end of each billing period and are subject to an annual price increase of 5%. You will be notified of any price change at least 30 days before your renewal date. You may cancel at any time through the platform dashboard.

Refunds: We do not offer refunds for partial billing periods. If you cancel a subscription, you retain access to paid features until the end of the current billing period.

Price Changes: We may change subscription pricing with 30 days' prior notice. Price changes take effect at the start of the next billing period following the notice.

Downgrades: If you downgrade from a paid plan to the free Starter plan, features not included in the Starter plan will become unavailable. Content that exceeds Starter plan limits will not be deleted but may not be editable until brought within limits.

15. Service Levels

Uptime Target: iNeedTrust targets 99.9% monthly uptime for the Service, measured as the availability of the platform dashboard and published Trust Center pages, excluding scheduled maintenance. Scheduled maintenance windows will be communicated at least 48 hours in advance via email to account holders.

Starter Plan: Uptime commitments and service credits do not apply to the free Starter plan.

Exclusions: The following are excluded from uptime calculations: (a) scheduled maintenance, (b) force majeure events, (c) failures caused by your equipment, software, or network, (d) actions taken by us at your request, and (e) third-party service outages beyond our reasonable control (including Cloudflare, Neon, and OAuth provider outages).

Exclusions: Confidential Information does not include information that: (a) is or becomes publicly available without breach of these Terms, (b) was known to the receiving party prior to disclosure without restriction, (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information, or (d) is rightfully obtained from a third party without restriction on disclosure.

Obligations: Each party agrees to: (i) use the other party's Confidential Information solely for the purpose of performing under these Terms, (ii) protect such information using at least the same degree of care it uses for its own confidential information, but in no event less than reasonable care, and (iii) not disclose Confidential Information to third parties except to employees, contractors, and agents who have a need to know and are bound by confidentiality obligations at least as protective as those in this section.

Required Disclosure: A party may disclose Confidential Information if required by law, regulation, or court order, provided that the disclosing party gives the other party prompt written notice (where legally permitted) and reasonable assistance to contest or limit the disclosure.

  • Remove, obscure, or alter the Powered By Mark through any means not provided by the Service (including CSS overrides, JavaScript, or browser extensions)
  • Use the Service to compete with iNeedTrust or to build a substantially similar product
  • Upload documents containing classified government information without appropriate access controls
  • Abuse the AI features to generate spam, misleading content, or content unrelated to security and compliance

We reserve the right to suspend or terminate your account for violations of this Acceptable Use policy, with or without prior notice depending on the severity of the violation.

18. Intellectual Property

iNeedTrust IP: The Service, including its software, design, algorithms, APIs, documentation, the Secure Controls Framework (SCF) data integrations, and the iNeedTrust brand, are the exclusive property of iNeedTrust or its licensors. Your use of this framework data is subject to the respective framework licensors' terms. iNeedTrust does not claim ownership of third-party framework intellectual property.

We will respond to valid notices and take appropriate action, including removing or disabling access to the allegedly infringing material.

19. Export Compliance

The Service and related technology may be subject to export control and economic sanctions laws of the United States and other applicable jurisdictions, including the Export Administration Regulations (EAR) administered by the U.S. Department of Commerce and sanctions programs administered by the Office of Foreign Assets Control (OFAC).

You represent and warrant that you: (a) are not located in, organized under the laws of, or a resident of any country or territory subject to comprehensive U.S. sanctions (currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine); (b) are not identified on any U.S. government restricted or denied-party list, including the Specially Designated Nationals (SDN) list, the Entity List, or the Denied Persons List; and (c) will not use the Service in violation of any applicable export control or sanctions law.

If we determine or reasonably suspect that you are in breach of this section, we may immediately suspend or terminate your access to the Service without notice or liability.

20. Data Processing

To the extent that iNeedTrust processes personal data on your behalf as a service provider or data processor (for example, trust center visitor data, dataroom authentication data, and NDA signing records), the parties agree to be bound by the iNeedTrust Data Processing Addendum ("DPA"), which is incorporated into these Terms by reference.

The DPA sets forth the parties' obligations with respect to data processing, security measures, sub-processor management, data subject rights, and breach notification, in compliance with applicable data protection laws including the California Consumer Privacy Act (CCPA), state consumer privacy laws, and - where applicable to your operations - the EU General Data Protection Regulation (GDPR).

In the event of a conflict between the DPA and these Terms with respect to the processing of personal data, the DPA shall prevail.

Note: The DPA is available upon request at [email protected]. Enterprise customers may request a custom DPA as part of their subscription agreement.

21. Warranties & Disclaimers

Limited Warranty (Paid Plans): For paid plans, iNeedTrust warrants that the Service will perform substantially in accordance with the applicable documentation during the subscription term. Our sole obligation for breach of this warranty is to use commercially reasonable efforts to correct the non-conformity or, at our option, terminate the affected subscription and refund prepaid fees for the unused portion.

Disclaimers: EXCEPT AS EXPRESSLY SET FORTH ABOVE, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INEEDTRUST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Without limiting the foregoing, iNeedTrust does not warrant that:

  • The Service will be uninterrupted, error-free, or secure

  • The Trust Center or Directory will achieve any particular search engine ranking or visibility
  • Framework mappings or compliance data reflect the most current version of any standard
  • NDA workflows or document access controls satisfy any particular legal requirement in your jurisdiction
  • The Service will meet your specific compliance or regulatory requirements

22. Limitation of Liability

Exclusion of Consequential Damages: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Liability Cap: INEEDTRUST'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS ACTUALLY PAID BY YOU TO INEEDTRUST IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Free Tier: FOR THE FREE STARTER PLAN, INEEDTRUST'S TOTAL LIABILITY SHALL NOT EXCEED TEN U.S. DOLLARS ($10.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

23. Indemnification

Your Indemnification (Paid Plans): If you are on a paid plan, you agree to indemnify, defend, and hold harmless iNeedTrust and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your Customer Content, including claims that it infringes or misappropriates third-party intellectual property rights

  • Claims by Visitors related to the accuracy or completeness of your Trust Center content
  • Your failure to comply with applicable privacy or data protection laws

Free Tier Exclusion: Neither party has indemnification obligations under this section for accounts on the free Starter plan.

24. Termination & Data Export

Termination by You: You may terminate your account at any time through the platform dashboard. For paid plans, termination takes effect at the end of the current billing period.

Termination by Us: We may terminate or suspend your account immediately upon written notice if you: (a) materially breach these Terms and fail to cure within 15 days after written notice, (b) engage in conduct that we reasonably determine poses a risk to iNeedTrust, other users, or third parties, or (c) fail to pay applicable fees within 15 days of the due date.

Data Export: Upon termination (by either party), you will have 30 days to export your Customer Content through the platform's export functionality. After the 30-day export period, we may permanently delete your Customer Content from our active systems. Backup copies may persist for up to 30 additional days before being purged.

Survival: The following provisions survive termination: Section 1 (Definitions), Section 6 (Content Ownership - Anonymized Data and Feedback provisions), Section 16 (Confidentiality), Section 18 (Intellectual Property), Section 21 (Disclaimers), Section 22 (Limitation of Liability), Section 23 (Indemnification for claims arising before termination), Section 25 (Governing Law), Section 27 (General Provisions), and this Section 24.

Effect on Trust Center: Upon termination, your Trust Center will be taken offline, removed from the Directory, and the URL will return a 404 response. We will not redirect your former Trust Center URL to any third party or competitor.

25. Governing Law & Dispute Resolution

Governing Law: These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be submitted to good-faith negotiation for a period of thirty (30) days following written notice of the dispute. If the dispute is not resolved through negotiation, it shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in English, with the seat of arbitration in Wilmington, Delaware.

Class Action Waiver: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND INEEDTRUST EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. ALL CLAIMS SHALL BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Arbitration Opt-Out: You may opt out of the arbitration and class action waiver provisions of this section by sending written notice to [email protected] within thirty (30) days of first accepting these Terms. Your notice must include your name, account email address, and a clear statement that you wish to opt out of binding arbitration. If you opt out, disputes will be resolved exclusively in the state or federal courts located in Wilmington, Delaware. The opt-out does not affect any other provision of these Terms.

Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdictional limits.

Injunctive Relief: Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

International Use: The Service is operated from and designed for use in the United States governed by Delaware Code. If you access the Service from another jurisdiction, you are responsible for compliance with applicable local laws. Nothing in these Terms limits any rights that cannot be waived under the mandatory provisions of the law of your jurisdiction of residence.

26. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email (to the address associated with your account) and by posting a notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of updated Terms constitutes acceptance. If you do not agree with the updated Terms, you must stop using the Service and may terminate your account as described in Section 24.

Non-material changes (e.g., typographical corrections, formatting updates, clarifications that do not alter rights or obligations) may be made without prior notice.

27. General Provisions

Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent. The remaining provisions shall continue in full force and effect.

Force Majeure: Neither party shall be liable for any failure or delay in performing its obligations under these Terms (except payment obligations) where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, pandemic, epidemic, natural disaster, terrorist attack, war, government action or order, labor dispute, power or internet failure, or denial-of-service attack. The affected party must provide prompt written notice and use commercially reasonable efforts to mitigate the impact. If a force majeure event continues for more than sixty (60) consecutive days, either party may terminate the affected subscription upon written notice.

Assignment: Neither party may assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of the other party, except that either party may assign these Terms without consent: (a) to an affiliate, or (b) in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, provided the assignee agrees to be bound by these Terms and the assigning party provides written notice within 30 days. Any purported assignment in violation of this section is void. Subject to the foregoing, these Terms bind and inure to the benefit of the parties and their respective successors and permitted assigns.

Entire Agreement: These Terms, together with the Privacy Policy, any applicable Data Processing Addendum, and any Order Forms, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral. No modification of these Terms shall be effective unless in writing and signed or electronically accepted by both parties, except as provided in the Changes to These Terms section above.

Waiver: The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by the waiving party's authorized representative to be effective.

No Third-Party Beneficiaries: These Terms are for the sole benefit of the parties and their permitted successors and assigns. Nothing in these Terms, express or implied, confers upon any other person or entity any legal or equitable right, benefit, or remedy of any nature whatsoever.

Notices: All notices required or permitted under these Terms must be in writing and sent to: (a) for iNeedTrust, [email protected]; (b) for you, the email address associated with your account. Notices are deemed received on the day sent by email (if no delivery failure notification is received within 24 hours). Either party may update its notice address by written notice to the other party. Notices relating to legal proceedings, claims, or disputes must additionally be sent by recognized overnight courier or certified mail to the other party's registered address.

Headings: Section headings are for convenience only and do not affect the interpretation of these Terms.

Relationship of Parties: The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the parties.
